SeqMo Rewards Program Terms and Conditions

This Exhibit forms an integral part of the agreement between SeqGen and the Client, setting forth the terms governing SeqGen’s SeqMo Rewards Program.

1. Eligibility and Accrual of Reward SeqMoCash

1.1. Client shall be eligible to earn reward SeqMoCash (“SeqMoCash”) upon the execution of any qualifying service transaction valued at Four Thousand United States Dollars (USD $4,000) or more.

1.2. For the Client’s first qualifying transaction only, the Client shall receive SeqMoCash equivalent to fifty percent (50%) of the total transaction value, which may be redeemed immediately in accordance with Section 2.

1.3. For all subsequent qualifying transactions (≥ USD $4,000), the Client shall earn SeqMoCash according to the following schedule, based on the applicable service plan tier:

• PM/Care Plus: 20% of the transaction value
• Gold Plan: 25% of the transaction value
• Platinum Plan: 35% of the transaction value
• Time & Materials: 3% of the transaction value

1.4. SeqMoCash shall be allocated per transaction and is not calculated cumulatively across multiple transactions.

1.5. In the case of a transaction involving multiple instruments with different plan tiers, the SeqMoCash shall be calculated separately for each instrument based on its respective plan.

2. Redemption of Reward SeqMoCash

2.1. The Client may redeem SeqMoCash for discounts on future service transactions, subject to the following limits based on their customer status or membership tier:

• For T&M Customers: Redemption is limited to up to three percent (3%) of the transaction value, and is applicable only to annual billing cycles.
  
• For PM/Care Plus Members: Redemption is limited to up to ten percent (10%) of the transaction value, and is applicable only to annual billing cycles.
  
• For Gold and Platinum Members:
  • For annual billing cycles: up to ten percent (10%) of the transaction value.
    
  • For semi-annual billing cycles: up to eight percent (8%) of the transaction value.
    
  • For quarterly billing cycles: up to six percent (6%) of the transaction value.
    

2.2. SeqMoCash may be redeemed only at the time of invoicing and shall not be applied retroactively.

2.3. SeqMoCash has no cash value and is non-refundable and non-transferable, except as expressly permitted by SeqGen in writing.

3. Expiration and Maintenance of SeqMoCash

3.1. All SeqMoCash earned shall expire eighteen (18) months from the date of the Client’s most recent qualifying transaction.

3.2. Each new qualifying transaction shall reset the expiration date for all unexpired SeqMoCash to eighteen (18) months from that new transaction date.

4. Referral Program

4.1. The Client shall be entitled to receive additional SeqMoCash equal to ten percent (10%) of the referred customer’s first qualifying transaction value, provided the referred customer is not an existing or former SeqGen client.

4.2. Referral SeqMoCash shall be credited only after the referred customer has completed payment for their first qualifying transaction.

5. General Terms

5.1. SeqGen reserves the right to amend or terminate the Rewards SeqMoCash Program at its sole discretion, with or without written notice to the Client.

5.2. In the event of termination, any SeqMoCash remaining unused at the time of termination shall expire automatically, unless otherwise agreed in writing.

5.3. The SeqMo Rewards Program does not create any contractual rights or obligations beyond those expressly stated in this Exhibit.

5.4. Ineligibility Due to Prior Discounts

Any service, plan, or transaction that has received any form of discount, concession, or promotional pricing—whether granted through individual negotiation, bundled pricing, special offers, or otherwise—shall not qualify for earning or redeeming SeqMoCash under this SeqMo Rewards Program. Only transactions made at standard published pricing shall be deemed eligible unless otherwise authorized in writing by SeqGen.
